Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the SayVia website, applications and services (together, the “Platform”). SayVia is a marketplace that connects clients with independent translators and interpreters across Ireland.

By creating an account or using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform. Please read them together with our Privacy Policy.

1.Who we are

The Platform is operated by Artur Horepokin, a sole trader registered in Ireland, operating as “SayVia” (“SayVia”, “we”, “us”, “our”). Business address: 13 Bothar Chroinn, Castletown, Dundalk, Co. Louth, A91 TC63, Ireland. You can contact us at support@sayvia.ie.

2.Definitions

  • Client — a user who books translation or interpreting services through the Platform.
  • Translator — an independent, self-employed translator or interpreter who offers services through the Platform. Translators are not employees, agents, partners or representatives of SayVia.
  • Booking — a confirmed engagement between a Client and a Translator for a specific job.
  • Services — the translation or interpreting work performed by a Translator for a Client.

3.Our role — a venue, not a party

SayVia provides a technology platform that allows Clients and Translators to find each other, communicate, agree terms, schedule work and process payment. That is the full extent of our role.

  • The contract for the Services is formed directly and exclusively between the Client and the Translator. SayVia is not a party to that contract and does not supply, supervise, direct or control the Services in any way.
  • SayVia does not act as an employer, employment agency, agent or broker for any user.
  • The Translator is solely responsible for the performance, quality, accuracy, timeliness and lawfulness of the Services, and for holding any qualification, registration or insurance the work requires.
  • The Client is solely responsible for deciding whether a particular Translator is suitable for their needs and for the accuracy of the information they provide when booking.

4.Eligibility and accounts

  • You must be at least 18 years old and able to enter into a legally binding contract.
  • You must provide accurate, current and complete information when registering, and keep it up to date. We rely on the information you provide and are not responsible for consequences of it being inaccurate.
  • You are responsible for keeping your login details secure and for all activity under your account.
  • You must notify us promptly at support@sayvia.ie if you suspect any unauthorised use of your account.

5.Verification — what it is and what it is not

Before listing a Translator profile, we review the qualifications, certificates or work experience the Translator submits. This review is a good-faith documentary check only. It is notan endorsement, recommendation or guarantee of any kind — in particular, it is not a guarantee of a Translator's identity beyond the documents provided, competence, performance, availability, conduct or suitability for any particular job. We do not verify that documents are genuine beyond a reasonable visual review, and we accept no responsibility for documents that later prove to be inaccurate or falsified. Clients must make their own assessment before booking.

6.Bookings, offers and travel

  • A Client sends an offer or request; the Translator may accept or decline. A Booking is confirmed once the Translator accepts and the Client pays.
  • For on-site jobs, a travel fee is calculated from the distance entered and the Translator's per-kilometre rate. The Translator is solely responsible for checking the travel distance before accepting; SayVia does not verify distances.
  • Rates (hourly, per-word and per-kilometre) are set solely by each Translator. SayVia does not set, control or guarantee any rate.
  • Scheduling, attendance, punctuality and performance of the job are matters solely between the Client and the Translator.

7.Fees and payments

Payments are processed by Stripe, an independent third-party payment provider. By making or receiving payments you also agree to Stripe's applicable terms. SayVia does not store full card details and is not responsible for acts or omissions of the payment provider, including processing delays, declined transactions or payout timing.

  • Clients pay the total shown (Services plus any travel fee) at the time of booking.
  • Client payments are held with the payment provider and released to the Translator after the Client signs the job off at the end of the booking; if the Client neither signs off nor reports a problem, the payment is released automatically 72 hours after the scheduled end of the booking, or as otherwise provided by the cancellation policy. Until release, no amount is owed to the Translator.
  • For each completed booking, SayVia retains a platform commission of 8% of the total amount paid by the Client (including any travel fee). The remainder is paid out to the Translator. We will give reasonable prior notice of any change to this commission rate.
  • SayVia may also charge Translators a subscription or membership fee for access to the Platform, which is made clear before you subscribe. Platform and subscription fees are non-refundable except where the law requires otherwise.
  • Translator payouts are made to the bank account connected through Stripe, less the platform commission and any applicable payment-provider fees.
  • Each Translator is an independent business and is solely responsible for their own tax, PRSI, VAT and other statutory obligations. SayVia does not withhold or account for any user's taxes.

8.Cancellations, refunds and no-shows

Cancellations, refunds and no-shows are governed by our cancellation policy, which is shown when you book, pay or cancel. In summary:

  • Clients can cancel free of charge before paying, and for a full refund more than 48 hours before the job.
  • Less than 48 hours before, the Translator keeps the booked hours and only the travel fee is refunded; less than 3 hours before, no refund is due.
  • Once a job has started or has been signed off, it cannot be cancelled.
  • If a Translator does not show up, or is more than 20 minutes late without notice, the Client receives a full refund of the amount paid through the Platform. This refund is the Client's sole and exclusive remedy against SayVia in respect of a no-show; any further claim lies against the Translator.

Nothing in this policy affects a consumer's statutory rights under Irish and EU consumer protection law.

9.Consumer rights and right of withdrawal

If you are a consumer, you have rights under the European Union (Consumer Information, Cancellation and Other Rights) Regulations 2013 and the Consumer Rights Act 2022, including a 14-day right to cancel certain contracts. Where you ask for a service to be performed during that period and it is fully performed, the right to cancel is lost; and where performance has begun with your agreement, you may be charged for what has been provided. Statutory rights that cannot be excluded are not affected by these Terms — however, statutory claims relating to the quality or performance of the Services lie against the Translator as the supplier of those Services, not against SayVia.

10.Your obligations and acceptable use

  • Use the Platform lawfully and only for genuine translation and interpreting engagements.
  • Do not post false, misleading, offensive or unlawful content, and do not impersonate anyone.
  • Do not take a relationship formed through the Platform off-platform to avoid fees, harvest other users' data, or interfere with the security or operation of the Platform.
  • Translators must hold any qualifications, registrations or insurance required by law for the work they undertake, and warrant to us that they do.
  • You are solely responsible for the content you post and the information you exchange with other users.

11.Confidentiality

Interpreting and translation often involve sensitive personal information (for example in medical or legal settings). Translators must keep all information they encounter in the course of a Booking strictly confidential and use it only to perform the Services. This obligation is owed by the Translator directly to the Client; SayVia is not responsible for a user's breach of confidentiality.

12.The Platform is provided “as is”

We work hard to keep the Platform available and reliable, but it is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranties or representations of any kind — express or implied — about the Platform, including its availability, accuracy, freedom from errors or viruses, or fitness for a particular purpose, or about any content posted by users (including profiles, rates, reviews and messages). We may modify, suspend or discontinue any part of the Platform at any time.

13.Limitation of liability

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded — including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or under mandatory consumer protection law. Subject to that:

  • SayVia is not liable for the acts, omissions, performance or conduct of any Client or Translator, or for the quality, accuracy, safety, legality or outcome of any Services. Any claim in respect of the Services must be brought against the party who provided them.
  • SayVia is not liable for any indirect or consequential loss, loss of profit, loss of business, loss of opportunity, loss of data or reputational harm, however arising.
  • SayVia is not liable for loss caused by events outside our reasonable control, by the payment provider, or by your breach of these Terms.
  • To the fullest extent permitted by law, SayVia's total aggregate liability to you arising out of or in connection with the Platform in any 12-month period is limited to the total service fees you paid to SayVia (not amounts paid to Translators) in that period, or €100, whichever is greater.

14.Your indemnity to us

To the extent permitted by law, you agree to indemnify SayVia against losses, claims and reasonable costs (including legal fees) arising from your breach of these Terms, your misuse of the Platform, your content, or — if you are a Translator — the Services you provide, except to the extent caused by our own breach or negligence. This clause does not apply to consumers where and to the extent such an indemnity is not permitted under applicable consumer law.

15.Disputes between users

Any dispute about the Services — quality, performance, conduct, damage or loss — is a matter between the Client and the Translator. We may, at our sole discretion, provide reasonable assistance (such as booking records) but we are under no obligation to mediate, adjudicate or compensate, and doing so in one case does not oblige us to do so in another.

16.Suspension and termination

You may close your account at any time. We may suspend or terminate access, remove content, or decline to list or re-list any profile at any time if we reasonably believe you have breached these Terms, if required by law, or to protect the Platform or its users. Obligations that by their nature should survive termination (such as payment, confidentiality, indemnity and liability) continue to apply.

17.Intellectual property

The Platform, including its design, text and logos, is owned by SayVia or its licensors and is protected by intellectual property law. You may not copy or reuse it except as allowed by these Terms. You keep ownership of content you submit but grant us a worldwide, royalty-free licence to host, display and use it as needed to operate and promote the Platform.

18.Complaints and dispute resolution

If you have a complaint about the Platform itself, contact us at support@sayvia.ie and we will try to resolve it. If you are a consumer and we cannot resolve a dispute, you may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr or contact the Competition and Consumer Protection Commission (CCPC) in Ireland.

19.General

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
  • A failure by SayVia to enforce any provision is not a waiver of it.
  • These Terms are the entire agreement between you and SayVia regarding the Platform and supersede any prior arrangements.
  • We may assign or transfer our rights and obligations under these Terms; you may not without our written consent.

20.Governing law and jurisdiction

These Terms and any dispute arising out of them are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction, save that if you are a consumer you may also bring proceedings in the courts of the EU member state in which you live, and nothing in this clause deprives you of mandatory protections of that state's law.

21.Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will take reasonable steps to let you know. Continuing to use the Platform after a change takes effect means you accept the updated Terms.
